Distributor Terms

Purpose

These Distributor Terms and Conditions govern the relationship between the company and the distributor regarding the distribution and sale of the Company's organic fertilizer products . These Terms shall be incorporated into and made a part of any agreement executed by the parties.

Distribution Rights

The Company hereby grants to the Distributor a non-exclusive right to distribute and sell the Products within the territory agreed upon by the parties.

Orders and Delivery

All orders for Products shall be placed in writing by the Distributor and shall be subject to acceptance by the Company. The Company shall use its best efforts to deliver the Products to the Distributor in a timely manner.

Payment Terms

The Distributor shall pay the Company the price for the Products as set forth in the applicable purchase order. The Distributor shall be responsible for all taxes, duties, and other charges related to the sale and distribution of the Products.

Termination of Agreement

This agreement may be terminated by either party upon written notice to the other party. However, either party may terminate this agreement for breach of these Terms.

Limitation of Liability

The Company shall not be liable for any damages arising from the Distributor's distribution and sale of the Products. The Distributor shall not assume any liability or obligation without the Company's prior approval.

Governing Law and Jurisdiction

These Terms and the performance hereunder shall be governed by and construed in accordance with the laws of the United States and subject to the jurisdiction of the courts in the state of California.

These Distributor Terms and Conditions are prepared to regulate the Distributor's actions in the distribution and sale of the Company's Products. Compliance with these Terms by the parties will ensure a healthy relationship between the Company and the Distributor.
